Terms of Service

These Terms of Service (the "Terms") govern your use of the Helm website at runhelm.app (the "Site") and the Helm subscription service (the "Service"), operated by [LICENSOR LLC] ("Helm," "we," "us"). By accessing the Site or subscribing to the Service, you agree to be bound by these Terms.

1.Eligibility

You must be at least 18 years old and authorized to bind your organization to enter into these Terms. The Service is intended for businesses operating physical venues with shared-use computers.

Helm is operations software for arcades, LAN centers, esports venues, and similar establishments. It includes an admin dashboard, station agents, monitoring tools, and a player-facing launcher. Specific features available to you depend on your subscription plan.

3.Accounts

To subscribe, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly at security@runhelm.app if you suspect unauthorized access.

4.Subscriptions and Payment

Subscription fees, billing cadence, and included usage are described at checkout or in your order form. Fees are charged in advance for each billing period and are non-refundable except as required by law or as expressly stated. We may change pricing for future renewal periods with at least 30 days' notice.

5.Founder Pricing

Founder pricing, if offered, is granted by access code and may be subject to a one-time eligibility check (such as venue verification). Founder pricing applies for the period stated at signup and converts to standard pricing thereafter unless otherwise agreed in writing.

6.Cancellation

You may cancel your subscription at any time from your account or by emailing support@runhelm.app. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial periods except where required by law.

You retain ownership of the operational data your venue generates through the Service (station configuration, schedule, match results, crew notes). We process this data to deliver and improve the Service. We do not sell customer data.

You are responsible for any personal information of your end users (your customers) that you input into the Service, and for having an appropriate basis to process it under applicable privacy law.

9.Intellectual Property

The Service, the Site, and all related software, content, and trademarks are owned by Helm or its licensors and are protected by intellectual property laws. No rights are granted to you except as expressly stated in these Terms or in a separate license agreement (such as the End User License Agreement governing the installed Software).

11.Disclaimers

THE SITE AND THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE." HELM MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SITE OR THE SERVICE, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HELM DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR THE SERVICE. HELM'S TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13.Indemnification

You agree to indemnify and hold Helm and its officers, employees, and agents harmless from any claims, damages, and expenses arising out of your use of the Service in violation of these Terms or applicable law.

14.Termination

We may suspend or terminate your access to the Service at any time for breach of these Terms, non-payment, or activity that threatens the security or integrity of the Service. Upon termination, your right to use the Service ceases and the provisions of these Terms that by their nature should survive (including Sections 8, 9, 11, 12, 13, and 16) survive termination.

15.Modifications to Service and Terms

We may modify the Service from time to time. We may also update these Terms; if the changes are material, we will provide notice through the Site or by email. Continued use of the Service after the effective date of any update constitutes acceptance of the updated Terms.

16.Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Nassau County, New York.

17.General

These Terms, together with any order form or license agreement referenced herein, constitute the entire agreement between you and Helm regarding the Site and the Service. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent.
